Welcome to gemlandhome.com (the “Site”). These Terms and Conditions (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and GEM Land & Home, a C-Corporation registered in the State of Wyoming (“Company,” “we,” “us,” or “our”), concerning your access to and use of our Site and the real estate services provided herein.

By accessing or using the Site, you agree that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Site and must discontinue use immediately.


1. Important Disclaimers & Nature of Services

A. Principal Investment Company Only

GEM Land & Home is a private real estate investment corporation. We are not a licensed real estate brokerage, real estate agency, or mortgage broker. We do not represent users of this Site as real estate agents, brokers, or fiduciaries. All transactions conducted through this Site or with the Company are executed with us acting strictly as a principal (either as the direct buyer or direct seller of the real estate).

B. No Professional Financial or Legal Advice

The information provided on this Site is for informational purposes only and does not constitute legal, financial, tax, or investment advice. Real estate investments carry inherent risks. We strongly encourage all users, whether buying or selling land, to consult with independent legal counsel, tax professionals, and qualified surveyors prior to executing real estate contracts.


2. Property Submissions (For Sourcing & Sellers)

If you use this Site to submit property information, parcel numbers (APNs), or personal contact details to request a cash purchase offer from us, you agree to the following:

  • Accuracy of Information: You represent and warrant that all information you submit regarding your property ownership, legal title status, and property condition is truthful, accurate, and complete.

  • No Obligation to Buy: Submitting property data to GEM Land & Home does not create a binding contract or obligate us to make a purchase offer. Any valuation or cash offer generated through this Site is preliminary and non-binding until a formal Purchase and Sale Agreement is signed by authorized corporate officers of GEM Land & Home.

  • Title Verification: You acknowledge that we will independently verify county appraisal data, tax records, and title structures before finalizing any real estate acquisition.


3. Land Listings & Inventory Sales (For Buyers)

Any land listings, marketing materials, map approximations, or pricing metrics displayed on the Site or distributed via our digital communication networks are subject to the following rules:

  • "As-Is, Where-Is" Disclosures: All real estate properties sold or offered by GEM Land & Home are sold strictly in an "As-Is, Where-Is" condition, with all faults, physical limitations, and lack of utilities, unless explicitly outlined otherwise in a written contract.

  • Independent Due Diligence: It is the sole responsibility of the buyer to independently investigate zoning restrictions, road access, utilities availability, building codes, and county regulations associated with any property before executing a transaction.

  • Prior Sale and Availability: All listed properties are subject to prior sale, withdrawal, or price adjustments at any time without prior notice. A property is not secured until down payments are fully processed and formal contract documents are executed by both parties.


4. Intellectual Property Rights

Unless otherwise indicated, the Site, including its source code, databases, website functionality, software, web designs, audio, video, text, photographs, graphics, and logos, are owned or controlled by GEM Land & Home, and are protected by copyright, trademark, and trade dress laws of the United States and the State of Wyoming. You are granted a limited license to access and view the Site strictly for personal, non-commercial use associated with our real estate services.


5. Prohibied Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. Prohibited activities include, but are not limited to:

  • Systematically retrieving data or content from the Site to create or compile a collection, compilation, database, or directory without written permission from us.

  • Circumventing, disabling, or interfering with security-related features of the Site.

  • Attempting to impersonate another user or person, or using the email addresses of another individual without explicit authorization.

  • Using the Site or our communication funnels (info@, offers@, sales@, ventas@) to distribute spam, advertising, or malicious software.


6. Limitation of Liability

In no event will GEM Land & Home, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages—including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site or our services, even if we have been advised of the possibility of such damages.

Our liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

 

7. Indemnification

You agree to defend, indemnify, and hold GEM Land & Home, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, harmless from and against any loss, damage, liability, claim, or demand (including reasonable attorneys' fees) made by any third party due to or arising out of: (1) your property submissions; (2) your breach of these Terms; or (3) your violation of the rights of a third party, including but not limited to intellectual property or property title rights.


8. Governing Law and Jurisdiction

These Terms and your use of the Site are governed by and construed in accordance with the internal laws of the State of Wyoming, without regard to its conflict of law principles.

Any legal action, suit, or proceeding arising out of or relating to these Terms or website interactions shall be brought exclusively in the state or federal courts located within the State of Wyoming, and you hereby consent to the personal jurisdiction and venue of such courts.


9. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Site or these Terms at any time or for any reason at our sole discretion without notice. Any changes will be effective immediately upon posting to the Site. We cannot guarantee the Site will be available at all times, and we may experience hardware, software, or maintenance issues resulting in temporary interruptions.
